Terms of Service

These Terms of Service ("Terms") govern the website subscription services provided by Hoffstedts Webb Agentur ("Service Provider") to [Client's Name] ("Client"). By subscribing to the services, the Client agrees to these Terms.

SCOPE OF SERVICES

1.1 The Service Provider agrees to provide web design services as per the specifications and requirements agreed upon with the Client, either verbally or in writing.

1.2 The services include, but are not limited to:

• Development of a responsive website tailored to the Client's needs and preferences.
• Creation and integration of graphical materials and visual elements.
• Customization and optimization of the website's user experience (UX) and user interface (UI).
• Integration of third-party features and plugins as requested by the Client.
• Testing and troubleshooting to ensure functionality and compatibility across various browsers and devices.
• Delivery of the finished website according to the agreed timeline.
• On-page search engine optimization.
• Speed optimization.
• Ongoing support through a ticket system.
• Hosting.

PAYMENT

2.1 The Client agrees to pay the Service Provider the agreed fee for the web design services as per the following payment structure:

• An initial non-refundable fee of $97 for the website subscription.
• A monthly fee of $97, which includes the design, search engine optimization, security, updates, and maintenance of the website.

2.2 Any costs related to domain names or third-party services will be borne by the Client and may be billed separately unless otherwise agreed in writing.

INTELLECTUAL PROPERTY RIGHTS

3.1 The copyright of the finished website and any associated materials and source code remains the property of Hoffstedts at all times. The Client is leasing the website and does not gain ownership rights.

3.2 The Client is granted a non-exclusive license to use the website and its content for the purposes agreed upon between the parties for the duration of the subscription.

PROJECT DELIVERY

4.1 The Service Provider will make every effort to complete the project within the agreed timeframe. However, the Client acknowledges that delays may occur due to factors beyond the Service Provider's control and agrees not to hold the Service Provider liable for such delays. The goal is to publish the website within 30 days.

4.2 The Client must provide all relevant materials and information required to complete the project on time. Delays caused by the Client may impact the project timeline, and the Service Provider will not be held responsible for such delays.

4.3 Upon completion of the website, the Service Provider will provide the Client with the necessary files and login credentials for website administration. The Service Provider will regularly back up the website.

CHANGES AND REVISIONS

5.1 Minor changes and adjustments to the website that do not significantly alter the overall project can be made at no extra cost to the Client.
5.2 If the Client requests major changes or adjustments not included in the original agreement, such changes may incur additional costs, depending on the scope and time required.

CONFIDENTIALITY

6.1 Both the Service Provider and the Client agree to treat all confidential information obtained during the term of this Agreement with confidentiality and not to disclose or use such information without written consent from the other party, except as required by law.

TERMINATION OF AGREEMENT

7.1 The Agreement may be terminated by either the Service Provider or the Client by giving written notice to the other party.

7.2 The initial fee of $97 is non-refundable as it covers the project startup time. Upon termination, the Service Provider retains intellectual property rights to the completed website, and any unpaid invoices for services rendered become immediately due.

DISPUTE RESOLUTION

8.1 In the event of any disputes arising from this Agreement, the parties will strive to resolve them through negotiation and good faith cooperation.

8.2 If the dispute cannot be resolved through negotiation, it will be referred to arbitration in accordance with applicable law and jurisdiction.

ADDITIONAL SERVICES (NOT INCLUDED)

• Social Media Management.
• Off-Page SEO.

The Client can contact the Service Provider for these services, which will be billed separately.

FINAL NOTES

• As the Service Provider is based in Sweden, no U.S. sales tax is charged. However, the Client may be responsible for reporting use tax in their state if applicable.
• Prices include Swedish VAT (moms) at the standard rate of 25%. Businesses outside the European Union may be able to claim this back according to local tax regulations.
• Upon termination of the subscription, the website will be deactivated as it remains the property of Hoffstedts Webb Agentur.

By subscribing to the services, the Client agrees to the terms and conditions outlined in this Agreement.
